PRACTICE AREAS

Our firm practices general business law related to transactions and offers legal advice regarding legal concerns of businesses and investors for international  and domestic businesses.

Our general business practice coordinates all of the legal needs of business entrepreneurs, professionals and closely-held businesses. We typically participate with management in their business and real estate decisions and  legal concerns.  In appropriate cases, we arrange and work closely with the most highly skilled specialists in their respective fields e.g. taxation, intellectual property, employment and other specialist areas in order to achieve cost-effective solutions for their businesses.

Establishment of an International, Domestic or Foreign Business or Partnership
Depending upon the locale of the intended business, we work closely with clients to determine the appropriate form of business and prepare relevant documents such as corporate papers, stock purchase agreements, partnership agreements, LLC operating agreements, employment agreements and a myriad of other documents.  We offer guidance regarding debt and equity structure.  Businesses include international, inter-state, California and local businesses.

Advice Regarding Ongoing Business Activities and legal Issues
We are involved in current and long-range planning and problem solving for clients.  We draft and review the spectrum of business and real estate agreements.  We work with clients regarding their shareholder and directors meeting and corporate reports and resolve contractual, shareholder, intellectual property and employment disputes.  Tax planning and employment issues are also essential client concerns.

When a foreign company establishes a business operation in the United States, there are a number of legal and related issues which must be solved effectively.  These concerns include the form of entity, contracts for the rental or purchase of real estate, approvals from municipal authorities, construction and other contracts regarding manufacturing and/or distribution facilities. 

Also, there may be visa applications for employees from a related overseas company, tax incentives from state or other local governments and employee relations and employment documents such as handbooks and other company statements/policies regarding equal opportunity/discrimination matters.

Our firm will assist and coordinate these critical legal issues.  We provide advice and consultation on day to day management matters, including employment law issues such as labor disputes, labor unions, workers' compensation or discrimination claims.  There are a variety of other contract matters that need to be addressed regularly such as distribution agreements, leases and other matters.

We will assist in the negotiation of these matters and work with other professionals such as accountants and other specialists by applying our intimate knowledge of the myriad of U.S. laws.

Business Sale and Ownership Transfer
In certain cases, businesses either need to either expand or contract, split a business or co-owners decide to part their ways.  We assist in negotiating, documenting and closing such business growth, retrenchment, spinoff or split measures.  As attorneys, we plan and implement structuring, negotiating, documenting and closing acquisitions, purchases, mergers, sales, reorganizations and liquidations.
